    iRhythm to Acquire VitalConnect for 7.5M to Build Broad Cardiac Intelligence Platform

    Cardiac Monitoring: iRhythm Scales Biosensor Platform Across Hospital and Home Settings

    iRhythm Holdings has entered into a definitive agreement to acquire privately held wearable biosensor company VitalConnect for approximately $287.5 million. The purchase price comprises $237.5 million in cash funded from iRhythm’s balance sheet and $50 million in iRhythm common stock, with iRhythm providing up to $30 million in interim working capital financing prior to close.

    The acquisition addresses a structural gap in enterprise cardiology: the friction of relying on single-modality diagnostic tools across varying patient acuity levels. While iRhythm’s flagship Zio patch excels at long-term continuous ECG monitoring, health systems frequently require broader clinical modalities—including short-term Holter, mobile cardiac telemetry (MCT) with live look-in capabilities, and multi-vital sign tracking across inpatient, outpatient, and hospital-to-home settings.

    VitalConnect’s FDA-cleared platform brings a 4-in-1 wearable biosensor capable of continuous monitoring for up to 30 days and tracking up to 11 physiological parameters. By integrating VitalConnect’s technology into its commercial scale and EMR-integrated infrastructure, iRhythm extends its reach beyond traditional ambulatory arrhythmia detection into acute inpatient telemetry, post-surgical recovery, and continuous remote patient monitoring.

    The transaction is expected to close by the end of 2026, subject to customary closing conditions and regulatory approvals. iRhythm projects the deal will accelerate its top-line revenue growth profile beginning in 2027 while maintaining its target adjusted EBITDA margin of 15% for 2027.
